Netpas Distance Software and Service License Agreement
By registering and using the Seafuture Inc. (the "Company") Website (the "Netpas Portal") you indicate your agreement to the terms of this End User License Agreement (the "Agreement"). If you do not agree to the terms herein, you are not authorized to register and use the Website.

ATTENTION: USE OF THE SERVICE IS SUBJECT TO THE TERMS SET FORTH BELOW. USING THE SERVICE INDICATES YOUR ACCEPTANCE OF THESE TERMS. IF YOU DO NOT ACCEPT THESE TERMS YOU ARE NOT AUTHORIZED TO USE THIS SERVICE.

1. LICENSE GRANT
The Company grants you a non-exclusive, worldwide right and license to use the executable version of the Website and The Data, where "use" in this Agreement means uploading, posting .emailing or transmitting the Website by registering and using user’s own ID per user. You may use, copy and transfer only the Software to other users, but not permitted to transfer The Data to other users. The Company may collect some information from your computer such as IP, MAC address, other hardware Ids and other information for checking your license. The Company may collect some information from your computer such as the number of launching of the Software, the number of analysis and the number of using of the Data for supporting.

2. NO DISASSEMBLY, RECOMPILATION OR DECRYPTION
Only the Seafuture Inc. can disassemble or decompile the user’s posted message on the Netpas Portal for the best management and commercial use of all information, data, text, software, photographs, images or other materials("Contents") in the website
You may not disassemble or decompile the Data on the Website unless Company prior written consent is obtained. In some jurisdictions, Company consent may not be required for limited disassembly or decompilation. Upon request, you will provide Company with reasonably detailed information regarding any disassembly or decompilation. You may not decrypt the Data on the Website, transmitting data and transmitting packets unless decryption is an essential step in the authorized use of the website.

3. INCORRECT OR UNAUTHORIZED INFORMATION
You may use the Netpas Portal by posting information and exchanging ideas. If you post incorrect information or use other's names or emails without his/her prior permission, however, the Company may stop your Netpas account without any prior notice and you should bear all responsibility for all consequences caused by your incorrect or unauthorized information.

You agree to not use the Service to:

a. upload, post, email, transmit or otherwise make available any Content that is unlawful, harmful, threatening, abusive, harassing, tortious, defamatory,
vulgar, obscene, libelous, invasive of another's privacy, hateful, or racially, ethnically or otherwise objectionable;

b. harm minors in any way;

c. forge headers or otherwise manipulate identifiers in order to disguise the origin of any Content transmitted through the Service;

d. upload, post, email, transmit or otherwise make available any Content that you do not have a right to make available under any law or under contractual or fiduciary relationships (such as inside information, proprietary and confidential information learned or disclosed as part of employment relationships or under nondisclosure agreements);

e. upload, post, email, transmit or otherwise make available any Content that infringes any patent, trademark, trade secret, copyright or other proprietary rights ("Rights") of any party;

f. upload, post, email, transmit or otherwise make available any unsolicited or unauthorized advertising, promotional materials, "junk mail," "spam," "chain letters," "pyramid schemes," or any other form of solicitation, without any other exceptions.

g. upload, post, email, transmit or otherwise make available any material that contains software viruses or any other computer code, files or programs designed to interrupt, destroy or limit the functionality of any computer software or hardware or telecommunications equipment;

h. solicit business from any users in connection with a commercial activity that competes with the Seafuture Inc.

i. interfere with or disrupt the Service or servers or networks connected to the Service, or disobey any requirements, procedures, policies or regulations of networks connected to the Service;

j. "stalk" or otherwise harass another; or

k. collect or store personal data about other users.

The Seafuture Inc. reserves right in its sole discretion to remove any material displayed on the Website which it reasonably believes is unlawful, could subject the Seafuture Inc. to liability, violates this Agreement or is otherwise found inappropriate in the Seafuture Inc.’s opinion. The Seafuture Inc. reserves the right to cooperate fully with governmental authorities, private investigators and/or injured third parties in the investigation of any suspected criminal or civil wrongdoing. Furthermore, the Seafuture Inc. may disclose the User's identity and contact information, if requested by a government or law enforcement body, an injured third party, or as a result of a subpoena or other legal action, and the Seafuture shall not be liable for damages or results thereof and User agrees not to bring any action or claim against the Seafuture for such disclosure. In connection with any of the foregoing, the Seafuture Inc. may suspend or terminate the Account of any User as the Seafuture Inc. deems appropriate in its sole discretion. User agrees that the Seafuture Inc. shall have no liability to User, including no liability for consequential or any other damages, in the event the Seafuture Inc. takes any of the actions mentioned in this Section, and that User agrees to bear the risk that the Seafuture Inc. may take such actions

4. NO WARRANTIES
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, COMPANY EXPRESSLY DISCLAIMS ANY WARRANTY FOR THE SERVICE. THE SERVICE AND ANY RELATED DOCUMENTATION IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NONINFRINGEMENT OF THIRD PARTY PROPRIETARY RIGHTS. THE ENTIRE RISK ARISING OUT OF USE OR PERFORMANCE OF THE WEBSITE AND THE SERVICE REMAINS WITH YOU.

5. NO LIABILITY FOR DAMAGES
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, NEITHER COMPANY NOR ITS SUPPLIERS SHALL BE LIABLE FOR ANY INCIDENTAL, SPECIAL OR CONSEQUENTIAL DAMAGES WHATSOEVER (INCLUDING WITHOUT LIMITATION, DAMAGES FOR LOSS OF BUSINESS PROFIT, BUSINESS INTERRUPTION, LOSS OF BUSINESS INFORMATION, OR ANY OTHER PECUNIARY LOSS) ARISING OUT OF OR RELATING TO THE USE OR INABILITY TO USE THIS WEBSITE SERVICE, EVEN IF COMPANY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. BECAUSE SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES, THE ABOVE LIMITATION MAY NOT APPLY TO YOU. FURTHERMORE, THE COMPANY'S LIABILITY FOR DIRECT DAMAGES SHALL NOT BE ACCOUNTABLE TO ANY OF REASONS. COMPANY DOES NOT HAVE ANY RESPONSIBILITY FOR ANY INTERNET CONNECTION PROBLEM. THE "COMPANY" DON'T HAVE ANY RESPONSIBILITY FOR ANY DAMAGE CAUSED FROM CORRECTNESS OF THE DATA.

6. One registered ID is accessible to all other Netpas software and website.
If you have your own ID on the Netpas Portal, you can access all the Netpas software such as Netpas Distance, Netpas Vessel Monitoring, Netpas Estimator, either.

7. USER’S CAUTION.

a. To share ID with others is not permitted.

b. All users are responsible for managing ID and PASSWORD very well.

c. In case that your ID is leaked to third party, please report us immediately.We will delete your personal profile and then give you the new ID and Password soon.

8. EXPORT REQUIREMENTS
You may not export or re-export the Website Netpas Portal or any copy or adaptation in violation of any applicable laws or regulations.

9. NEGATION OF PARTNERSHIP
Company shall not become or be deemed a partner or a joint venture with you by reason of the provisions of this license.

10. TheNetpas Portal, all information, data, text, software, photographs, images or other materials("Contents") in the website , is owned by Company and is protected by Republic of Korea copyright laws and international treaty provisions. Except to the extent expressly licensed herein, all rights are reserved to Company. Unauthorized reproduction, copying, storing, recording, transmitting or distribution of the Website and Database, or any portion of it, may result in severe civil and criminal penalties, and will be prosecuted to the maximum extent possible under the law. To prevent data extraction, hacking or cracking, the Company may limit daily usage for a Netpas Portal registered user. The Seafuture Inc. may amend this Agreement at any time by posting the amended and restated Agreement on the Website Netpas Portal. The amended and restated Agreement shall be effective immediately upon posting. This Agreement was last amended onFebruary 1st 2016. Posting by the Seafuture Inc. and restated Agreement and your continued use of the Site shall be deemed to be acceptance of the amended terms. This Agreement may not otherwise be modified, except in writing by an authorized officer of the Seafuture Inc.(the "Company")

11. GOVERNING LAW AND FORUM
Irrespective of the place of execution or performance, this License Agreement shall be governed and construed in accordance with the laws of the Republic of Korea applicable to agreements. Any litigation to enforce or interpret the provisions of this License Agreement or the parties' rights or obligations arising out of this License Agreement or the performance hereunder shall be maintained only in the courts in the City of Seoul, Korea, and the parties expressly consent to personal jurisdiction in such courts. In the event that you breach this Agreement or indicate your intention to breach this Agreement in any manner that violates or may violate the Company's intellectual property rights or may cause continuing or irreparable harm to the Company, the Company may seek injunctive relief in any court of competent jurisdiction. The United Nations Convention on Contracts for the International Sale of Goods is specifically disclaimed.

12. ENTIRE AGREEMENT
Unless otherwise expressly agreed in writing, this License Agreement constitutes the sole and exclusive agreement between you and Company with regard to theNetpas Portal, and supersedes all prior agreements, whether oral or written, and other communications between the parties relating to the subject matter set forth herein. And if a Netpas Portal user uses the other Netpas Software such as Netpas Distance, Netpas Vessel Monitor, Netpas Estimator etc, you are deemed to agree " Distance License", too.
